Welcome to LV Digital Build Out and Nova CRM (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our websites, software, services, mobile applications, SMS communication tools, and payment terminals (Nova Pay powered by Clover).

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please discontinue use.

1. Use of Services

You agree to use our services only for lawful business purposes and in compliance with all applicable laws and regulations.

You may not:

Resell, sublicense, or misuse the platform

Attempt to bypass security features

Use automation for spam or scraping

Send unsolicited messages without consent

2. Account Registration

To use Nova CRM and Nova Pay, you must register an account and provide accurate information. You are responsible for safeguarding your account credentials and all activity under your account.

We reserve the right to suspend or terminate accounts for suspicious or unauthorized activity.

3. SMS Communication Terms

Consent & Responsibility:

You are responsible for obtaining proper consent before sending SMS messages via Nova CRM. We provide tools to help manage opt-in and opt-out lists but you are liable for compliance with the TCPA, CTIA, and A2P 10DLC requirements.

Message Types:

You may use SMS features for:

Marketing campaigns

Appointment reminders

Payment and invoice updates

Internal notifications

Opt-Out Requirements:

All marketing messages must include opt-out instructions (e.g., "Reply STOP to unsubscribe").

Carrier Disclaimers:

Message delivery is subject to carrier filtering and approval. We are not liable for blocked or delayed SMS messages.

4. Nova Pay – Clover Terminal Services

Nova Pay is a Clover-integrated payment solution provided by LV Digital Build Out.

Eligibility:

You must complete a merchant application, agree to Clover’s underwriting policies, and maintain good standing to use Nova Pay.

Fees:

Transaction and monthly service fees will be disclosed in your merchant agreement.

Prohibited Transactions:

You may not use Nova Pay for high-risk or prohibited transactions as defined by Clover and card network rules.

Chargebacks & Refunds:

You are solely responsible for handling chargebacks and refund requests. LV Digital is not liable for any losses arising from disputes or fraudulent transactions.

5. Service Availability

We strive to maintain 99.9% uptime for Nova CRM and Nova Pay. However, we do not guarantee uninterrupted access and are not liable for downtimes caused by third-party providers (e.g., Clover, telecom carriers, cloud infrastructure).

Scheduled maintenance and critical updates may require temporary service suspension.

6. Payment & Billing

By subscribing to our services, you authorize recurring charges to your provided payment method.

Late or failed payments may result in service suspension. Fees are non-refundable unless otherwise stated in writing.

7. Data & Privacy

All use of data is governed by our Privacy Policy. By using our services, you agree to how we collect and handle your information.

8. Intellectual Property

All content, software, logos, and documentation are the intellectual property of LV Digital Build Out or its licensors. You may not copy, reverse engineer, or repurpose our platform or branding without written permission.

9. Termination

We may suspend or terminate your access if you breach these Terms or engage in abusive, fraudulent, or unlawful behavior.

You may cancel your subscription anytime, but fees already paid are non-refundable unless specified in your service agreement.

10. Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

Loss of data, profits, or revenue

Service interruptions or delays

Third-party actions (e.g., SMS carrier filtering, Clover outages)

Total liability is limited to the amount paid by you in the last 30 days prior to the claim.

11. Dispute Resolution

Any disputes shall be resolved through binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association. You waive the right to participate in any class action.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use constitutes acceptance of the revised Terms.
